Before accessing materials for Stained by Reason, you are required to agree to the following confidentiality terms.
NON-DISCLOSURE AGREEMENT (NDA)
Project Title: “Stained by Reason”
1. PURPOSE
The Disclosing Party intends to share confidential information relating to the film project titled “Stained by Reason” (the “Project”), including but not limited to scripts, concepts, visual materials, casting details, and production plans.
The Receiving Party agrees to maintain the confidentiality of such information.
2. CONFIDENTIAL INFORMATION
“Confidential Information” includes, but is not limited to:
Script, narrative, and story structure
Shot lists, visual concepts, and creative direction
Character details and casting information
Production methods, including AI-assisted elements
Any materials marked or understood to be confidential
3. OBLIGATIONS OF THE RECEIVING PARTY
The Receiving Party agrees to:
Not disclose any Confidential Information to any third party
Not copy, reproduce, or distribute materials without written permission
Use the Confidential Information solely for the purpose of evaluating or participating in the Project
Take reasonable steps to protect the confidentiality of the information
4. EXCLUSIONS
This Agreement does not apply to information that:
Is already publicly available
Was known prior to disclosure
Is independently developed without use of the Confidential Information
5. SENSITIVE CONTENT ACKNOWLEDGEMENT
The Receiving Party acknowledges that the Project contains historically accurate depictions of sensitive and potentially disturbing subject matter, including but not limited to themes related to fascism, racism, and exploitation.
The Receiving Party agrees not to share or misrepresent this content outside the context of the Project.
6. TERM
This Agreement shall remain in effect for 3 years from the date of signing, or until the Project is publicly released, whichever comes first.
7. RETURN OF MATERIALS
Upon request, the Receiving Party agrees to return or delete all Confidential Information provided.
8. NO RIGHTS GRANTED
This Agreement does not grant the Receiving Party any rights, ownership, or interest in the Project or its materials.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
